Platform Classification & Limitation of Role
NOYO is a technology host platform providing digital infrastructure, wellness support tools, AI-assisted experiences, and a marketplace connecting users with independent self-employed practitioners. NOYO does not employ practitioners, does not provide clinical therapy, and does not act as a healthcare provider.
NOYO expressly disclaims any role as:
- A healthcare provider or medical institution
- A licensed therapist, psychologist, or psychiatrist
- An employer of practitioners or clinical professionals
- An emergency response provider
- A regulated clinical service of any kind
All human practitioner services accessed through the Platform are provided by independent self-employed contractors. All AI-driven interactions are provided for the purposes of emotional support and companionship only and do not constitute clinical therapy or medical treatment of any kind.
Absence of Professional Relationship
Use of the Platform does not create any professional relationship between you and NOYO. Specifically, your use of the Platform does not create:
- A doctor-patient relationship
- A therapist-client relationship
- A fiduciary duty
- Any form of professional duty of care owed by NOYO
Any practitioner-client relationship formed through the Platform exists solely between you and the relevant independent practitioner. NOYO is not a party to that relationship and assumes no responsibility for its conduct or outcomes.
Medical, Psychological & Wellness Disclaimer
All content on the Platform, including AI-generated responses, is provided for general informational, wellness support, and companionship purposes only. Nothing on the Platform constitutes medical advice, psychological diagnosis, psychiatric evaluation, or clinical treatment.
You agree that:
- You will not rely on the Platform for diagnosis or clinical treatment
- You will seek licensed professionals for medical or mental health needs
- You assume full responsibility for your health decisions
NOYO's AI systems provide emotional support and companionship. They are not licensed clinical tools and must not be interpreted as providing therapy, diagnosis, or any form of regulated mental health treatment.
If you are experiencing a mental health emergency or are at risk of harm, you must contact emergency services in your country immediately. Do not rely on NOYO's Platform in any emergency situation.
Host Platform Model
NOYO operates exclusively as a host platform and marketplace. Our role is to provide the digital infrastructure, tools, and environment through which independent self-employed practitioners offer their services to users.
In this capacity:
- NOYO does not employ, supervise, manage, or direct practitioners in the delivery of their services
- NOYO does not intervene in, monitor, or take responsibility for the content of practitioner sessions
- Practitioners are solely responsible for the services they provide, their professional conduct, and their compliance with applicable laws and professional standards
- All practitioners operating on the Platform are required to hold their own professional liability insurance covering digital and platform-mediated service delivery
NOYO's obligations are limited to platform obligations - maintaining the infrastructure, processing payments, applying data protection standards, and operating the reporting and safeguarding pathway described in our Safeguarding Policy.
Eligibility - Adults Only
The Platform is exclusively for adults aged 18 and over. By creating an account or accessing the Platform, you confirm that you are at least 18 years of age. This requirement applies globally without exception regardless of local age of majority laws.
NOYO does not provide services to individuals under the age of 18 under any circumstances. If we become aware that an account has been created by or is being used by a person under 18, we will immediately suspend and delete that account without notice.
You also represent and warrant that:
- You are legally competent to enter into binding agreements
- Your use of the Platform complies with all applicable laws in your jurisdiction
NOYO reserves the right to restrict access at its sole discretion.
Account Security & Liability
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account. You must not share your account with any other person or allow unauthorised access.
You must notify us immediately at [email protected] if you believe your account has been compromised or accessed without your authorisation. NOYO shall not be liable for any loss resulting from unauthorised access to your account arising from your failure to maintain account security.
Prohibited Conduct
You are strictly prohibited from using the Platform for any of the following purposes:
- Any illegal, harmful, or fraudulent activity
- Attempting to manipulate AI systems to produce harmful, unsafe, or inappropriate outputs
- Harassment, exploitation, or abuse of any person including practitioners and other users
- Uploading, transmitting, or sharing malicious, unlawful, or harmful content
- Circumventing or attempting to bypass any technical safeguard or security measure
- Reverse engineering, scraping, or interfering with any Platform system
- Impersonating any individual or entity
- Using the Platform for clinical decision-making, emergency response, or risk assessment in real-world scenarios
Violations may result in immediate account termination and legal action at NOYO's sole discretion.
AI Systems - Full Risk Disclosure
NOYO's AI systems are designed to provide emotional support and companionship. They are not clinical tools, do not employ licensed professionals, and are not designed or approved for therapeutic, diagnostic, or medical use.
You expressly acknowledge that:
- AI systems operate using probabilistic models and outputs may be inaccurate, incomplete, or contextually inappropriate
- AI does not possess human judgment, understanding, or clinical expertise
- AI responses are not verified professional advice of any kind
- AI systems may fail to detect distress, risk, or crisis situations
- You must not rely on AI outputs for any medical, psychological, safety, or emergency decision
NOYO disclaims all liability for errors in AI output, misinterpretation of AI responses, and any emotional, psychological, or physical effects arising from reliance on AI-generated content.
Note regarding professional AI tools: NOYO operates separate AI systems - including ERAS (Enhanced Risk Assessment System) and HAM (Human Attunement Model) - exclusively for use by licensed clinical professionals and authorised institutions under separate professional agreements. These tools are not accessible to general users and are not governed by these Terms.
User Content & Data Rights
You retain ownership of all content you submit to the Platform. NOYO's rights to use your content are governed by the following tiered framework based on the sensitivity of the service through which content is generated:
Tier 1 - Sensitive
Clinical & Emotional Data
Content generated through AI companion sessions, crisis pathways, INTT, self-assessment, and any service involving emotional or psychological disclosure. This data is used solely for service delivery and safety monitoring. It is never used for AI training, commercial development, or shared with third parties outside of legal and safeguarding obligations.
Tier 2 - Wellness
Lifestyle & Wellness Data
Content generated through meditation, immersive spaces, sleep programmes, mindfulness, and similar non-clinical wellness services. This data may be used in anonymised and aggregated form to improve platform performance and wellness content. It is never linked to your personal identity in any analysis.
Tier 3 - Platform
Behavioural & Usage Data
Navigation patterns, session data, programme completion, and platform preferences. This data is used for platform improvement, performance analytics, and user experience optimisation in accordance with our Privacy Policy.
Payment & Subscriptions
All subscription payments are due in advance and billed on a recurring basis. By subscribing, you authorise NOYO to charge your payment method for each billing period until you cancel.
NOYO reserves the right to modify pricing with reasonable advance notice to active subscribers. Failure to maintain payment may result in suspension or termination of access. All payment processing is handled by our third-party payment provider. NOYO does not store payment card details.
Refunds & Cancellations
NOYO's refund and cancellation policy distinguishes between services rendered and marketplace goods, as follows:
A. Professional Practitioner Sessions
Practitioner sessions are professional services. Once a session has commenced, it is considered delivered and no refund will be issued. The following cancellation notice periods apply:
- 72 hours or more before session: Full refund or account credit issued
- 24 to 72 hours before session: Platform credit only - no cash refund
- Less than 24 hours before session or no-show: Full forfeiture - no refund or credit issued
By booking a session, you acknowledge that the practitioner has allocated time and capacity exclusively for you. Late cancellations and no-shows result in real loss to the practitioner and the platform. This policy is binding and acknowledged at the point of booking.
B. AI & On-Demand Services
AI companion sessions, meditation, immersive spaces, and all on-demand digital services are non-refundable once commenced. The service is considered delivered from the moment of access.
C. Subscriptions
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused days within a billing period.
D. Marketplace Products
Where NOYO's marketplace offers physical or tangible digital products, a refund may be issued where the product is returned unused and in its original condition within the specified return window. Terms applicable to specific marketplace products will be stated at point of purchase.
E. Statutory Rights
By purchasing a digital service and consenting to immediate commencement, you acknowledge that you waive any applicable statutory cooling-off period in jurisdictions where such waiver is permitted by law. Where statutory rights cannot be waived, they are preserved.
Third-Party Services
NOYO is not responsible for the services, conduct, or outcomes of any third party operating through or in connection with the Platform, including independent practitioners, marketplace vendors, and external integrations. All interactions with third parties are at your own risk. Practitioners are independent contractors solely responsible for their own professional conduct, licensing, and outcomes.
Intellectual Property - Full Protection
All Platform content, design, architecture, AI frameworks, programme materials, methodologies, and technology - including but not limited to HAM (Human Attunement Model), ERAS (Enhanced Risk Assessment System), Personal Grounding Theory, and all associated proprietary systems - are the exclusive intellectual property of NOYO Global and are protected by applicable copyright, trademark, trade secret, and intellectual property law.
You are strictly prohibited from:
- Reproducing, distributing, or creating derivative works from any Platform content
- Copying, cloning, or imitating the design, layout, or visual identity of the Platform
- Extracting data, models, or systems from the Platform
- Using any Platform content for commercial purposes without express written authorisation
- Reverse engineering any proprietary system or AI framework
Unauthorised use of NOYO's intellectual property will result in enforcement action including injunctive relief and claims for damages.
Service Interruptions
NOYO makes no guarantees regarding uptime, availability, or performance. We may modify, suspend, or discontinue any part of the Platform at any time with or without notice. NOYO shall not be liable for any loss or inconvenience arising from service interruptions.
Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. NOYO does not warrant that the Platform will be uninterrupted, error-free, or free from harmful components.
Limitation of Liability
To the fullest extent permitted by law, NOYO Global shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform, including but not limited to personal or emotional harm, data loss, service interruption, or any reliance on Platform output.
NOYO's maximum aggregate liability to you shall not exceed the greater of: (a) USD $100; or (b) the total amounts paid by you to NOYO in the twelve months immediately preceding the claim.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other matter that cannot lawfully be excluded or limited.
User Indemnification
You agree to defend, indemnify, and hold harmless NOYO Global, its officers, directors, employees, contractors, and agents from and against all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, your misuse of AI systems, or your breach of any applicable law.
Binding Arbitration
All disputes arising out of or in connection with these Terms or your use of the Platform shall be finally resolved through binding arbitration conducted under internationally recognised arbitration rules. You waive your right to a jury trial and your right to participate in any class or representative action.
The seat of arbitration and applicable rules shall be determined in accordance with Section 20 (Governing Law) below.
Class Action Waiver
All claims must be brought individually. You agree that you will not bring or participate in any class action, collective action, or representative proceeding against NOYO. Each dispute must be arbitrated or litigated on an individual basis only.
Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Mauritius (Data Protection Act 2017). All disputes shall be subject to the exclusive jurisdiction of the courts or arbitral tribunals of that jurisdiction, without regard to conflict of law principles.
Nothing in this section limits any rights you may have as a consumer under the mandatory laws of your country of residence.
Force Majeure
NOYO shall not be liable for any failure or delay in performance arising from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, civil unrest, government action, power failure, internet disruption, or third-party service failure.
Termination Rights
NOYO may suspend or terminate your access to the Platform at any time, with or without notice, for any reason including violation of these Terms or conduct that NOYO determines, in its sole discretion, to be harmful to the Platform, its users, or its practitioners.
Upon termination, your right to access the Platform ceases immediately. Provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, and arbitration shall survive termination.
Modifications to Terms
NOYO may update these Terms at any time. Where changes are material, we will provide reasonable notice via email or a prominent platform notice. Your continued use of the Platform following any update constitutes your acceptance of the revised Terms.
Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect.
Entire Agreement
These Terms, together with NOYO's Privacy Policy, Cookie Policy, Refund & Cancellation Policy, Safeguarding Policy, and any other policies incorporated by reference, constitute the entire agreement between you and NOYO Global with respect to your use of the Platform and supersede all prior agreements and understandings.

NOYO Global - Never On Your Own
Key Definitions
"Platform" means all NOYO systems, applications, AI services, interfaces, and digital environments.
"Services" includes AI companionship tools, practitioner access, immersive spaces, wellness programmes, and all other digital services offered by NOYO.
"Practitioner" means an independent third-party professional service provider listed on or accessible through the Platform.
"User" means any individual accessing or using the Platform, whether registered or unregistered.
No Duty of Care
NOYO provides access to tools, environments, and connections but does not assume any duty of care, fiduciary responsibility, or clinical obligation to users. NOYO is a technology host platform, not a healthcare provider, therapist, or professional adviser.
Non-Reliance
Users agree not to rely on any content, AI output, practitioner communication, or platform interaction as a substitute for professional medical, psychological, legal, or financial advice.
Service Modification
NOYO may modify, suspend, or discontinue any part of its services at any time, with or without notice, without liability to you or any third party.
Intellectual Property
All Platform content, systems, AI architecture, training data, outputs, branding, and interfaces are owned by or licensed to NOYO Global and are protected by applicable intellectual property laws.
Users may not copy, reproduce, distribute, reverse-engineer, adapt, or commercially exploit any part of the Platform or its outputs without NOYO's prior written consent. Violations may result in immediate account termination and legal action.
Enforcement Discretion
NOYO reserves the right, at its sole and absolute discretion, to suspend, restrict, modify, or terminate access to any part of the Platform, services, or accounts at any time, with or without notice, for any reason, including but not limited to suspected violations of these policies.
Survival
All provisions which by their nature should survive termination shall survive, including but not limited to liability limitations, indemnification, arbitration, intellectual property protections, and non-circumvention obligations.
Severability
If any provision of this policy is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
No Waiver
Failure by NOYO to enforce any provision of this policy on any occasion shall not constitute a waiver of its right to enforce that provision or any other provision on any other occasion.
Force Majeure
NOYO shall not be liable for any failure or delay in performance arising from causes beyond its reasonable control, including but not limited to natural disasters, infrastructure outages, cyberattacks, pandemics, or governmental actions.
Assignment
NOYO may assign, transfer, or delegate its rights and obligations under this policy without restriction and without prior notice. You may not assign your rights or obligations without NOYO's prior written consent.
Governing Law & Dispute Resolution
This policy is governed by and construed in accordance with the laws of Mauritius (including the Data Protection Act 2017), without regard to its conflict of law provisions.
Any dispute arising out of or in connection with this policy shall be resolved by binding arbitration under internationally recognised arbitration rules. You agree to resolve all disputes individually and waive any right to participate in, or bring claims as part of, any class action, collective proceeding, or representative action.
Where mandatory consumer protection laws in your country of residence provide rights that cannot be contractually excluded, those rights are preserved.
